Non Profit Organizations 

Advise and counsel in the creation of non profit organizations including selecting the appropriate entity, forming that entity and obtaining non profit status from the IRS and State Franchise Tax Board. Thereafter, on going representation, if required, including attendance at meetings, and assistance in organizing and running the entity.  Potential for flat fee on annual basis. Otherwise fees charged on hourly basis. 

Estate Planning and Probate

This office will customize your estate planning documents. Unlimited remote client conferences to create an estate planning document which serves the client’s personal and tax situation. Documents to be drafted include wills or trusts or both, durable power of attorney for property management and alternative health care directive. Explanation for the use of each of these estate planning documents.
Flat fee or hourly fee depending on the circumstances.

Representation of client in probate proceedings including probate of the estate, motions and trust proceedings.

Business Transactions

Drafting and interpretation of business contracts, leases, partnership agreements, etc. Advise as to appropriate business entity, i.e. privately held corporation, LLC, partnership, sole proprietorship, professional organization and formation of same. Specializes in advise and counsel to small and start up businesses. 

Real Estate

Advise and creation of residential and commercial purchase and sale agreements and leases. Commercial lending agreements. Negotiation of residential and commercial transactions involving transfer of ownership, leaseholds, and dealing with regulatory entities. Advise and counsel to Homeowners Associations in common interest developments. 

General Litigation Experience

Has handled dozens of civil cases before state and federal courts (jury and non-jury) in San Francisco, Alameda, Contra Costa, San Mateo, Marin, Solano, and Sacramento counties, Northern and Eastern District of California, including representation of plaintiffs and defendants.
